User Terms and Service Agreement

You acknowledge that you have read, understood and agree to be bound by the following terms and conditions (including any additional guidelines and future modifications) and the Grace Privacy Policy. If at any time you disagree with these Terms and Conditions of Use, you may not use the Software or Services and must immediately terminate your use of the Software and all Services.

1. Confirm.

If you have downloaded the software from application markets such as Apple App Store and Google Play, this paragraph applies to you. grace and you acknowledge that these Terms of Use are solely between grace and you, and not with the App Market, and that as between grace and the Market, grace, not the Market, is solely responsible for the Software and Services and their content. These Terms and Services are less restrictive than the Terms of Use and are not intended to provide for or conflict with the Software Rules for Licensed Applications set forth in the App Market Terms of Service as of the date hereof (you further acknowledge that you have the opportunity to review the terms).

2. License Grant.

Subject to your compliance with the terms and conditions set forth in these Terms of Use, grace grants you a personal, limited, non-commercial, non-exclusive, non-sublicensable, non-transferable, revocable license to operate only on your personal computer or computer. Download, install and use one (1) copy of the Software in object code format on a mobile device ("Device") for the sole purpose of personal use of the Grace Application and any other application expressly authorized by Grace for use through use of the Software, and if You have downloaded the Software from the Apple App Store or Google Play, as permitted by the usage rules set forth in each app marketplace's Terms of Service as of the date of this Agreement.

3. Ownership.

The Software is protected by copyright laws and international copyright treaties and other intellectual property laws and treaties. The Software includes trade secrets and confidential information proprietary to Grace, and you agree to take all necessary measures to protect the confidentiality of such information. All ownership rights in the Software and Services, including any related documentation and any new versions, modifications and enhancements thereof, belong solely to Grace and its licensors (if any), including all intellectual property rights therein. The software is licensed, not sold. The title is not passed down to you. No implied license, right or interest is granted under any copyright, patent, trade secret, trademark, invention or other intellectual property right. grace hereby expressly reserves all rights not expressly granted to you in the Software and all Services.

4. Limitations.

You are only licensed to use the object code version of the software. You may not (i) copy, modify, adapt, translate into any language, distribute or create derivative works based on the Software or any Services; (ii) sublicense, sublet, lease, loan, transfer, sell, license, distribute, lease , export, re-export or grant other rights in the Software or Services, and any attempt by you to take such action is void; (iii) in any way decompile, disassemble, reverse engineer or attempt to reconstruct, identify or Discover any source code, underlying ideas, underlying user interface techniques or algorithms of the Software or any Service; (iv) remove, obscure or alter any copyrights and/or rights contained in or otherwise related to the Software or any Service; or other proprietary rights notice; (v) use the Software or any Services to create or spread viruses, or circumvent any copyright protection or other digital rights management mechanism.

5. Other restrictions.

You further declare that you shall not (i) use the Software or any Services for any illegal or unauthorized purpose, (ii) use the Software or any Services in any manner that disables, overburdens or impairs any Services, (iii) transmit worms bugs, viruses or any code of a destructive nature, (iv) display, transmit or share content consisting of text, sounds, audio, images, photos, videos and/or deemed hateful, threatening, pornographic, obscene, abusive, racial or ethnic any content consisting of material, information or communications of any kind ("Content") that is offensive, defamatory or libelous, or that encourages conduct that would be considered a criminal offense or give rise to civil liability, (v) attempt to hack, damage or Adapt the grace app, software (or its source code) or any service, or alter another website to falsely imply that it is affiliated with grace, or (vi) use or access any service through any means other than through the interface provided by grace.

6. Equipment usage:

If your use of the Software or Services relies on the use of bandwidth owned or controlled by a third party, you acknowledge and agree that your license to use the Software is subject to your obtaining the consent of the relevant third party, and by using the Software, you warrant that you have obtained this Class agrees. Additionally, you warrant that you own the device from which the Software is downloaded or that you have the legal right to control the use of that device. You further agree to ensure that any other person you permit to use the Software or Services will use the Software or Services in accordance with these Terms of Use. If you sell your device, or if you no longer have the legal right to control the use of your device, you must remove any software from your device.

7. Content.

Content transmitted using the Software and Services is solely the responsibility of the person who sent such content. You use the Software and Services at your own risk, and understand that by using the Software or any Services, you may be exposed to content that is offensive, harmful to minors, indecent, or otherwise objectionable. grace does not endorse any content and expressly disclaims all liability related to all content transmitted or displayed using the software and/or services. You hereby release the Grace Period Parties (as defined below) from any and all claims and demands arising out of or relating to any Content.

8. Your content.

You acknowledge and agree that you are solely responsible for any Content that you transmit or display through the Software or Services, and that Grace (and Apple or Google, if you downloaded the Software from the App Store or Google Play) are not responsible for any Content of yours or any third party. . You further agree to pay all royalties, fees and any other amounts owed to anyone for any of your Content. Additionally, you represent and warrant that: (a) you are the creator and owner of the Content or have the necessary rights to transmit or display the Content; and (b) the Content you transmit or display does not and will not: (i) infringe, Violate or misappropriate any third party right, including any copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity or any other intellectual property or proprietary right, or (ii) defame, slander, slander or infringe any other a person’s privacy, publicity or other property rights. Persons who violate the rights of these third parties may be subject to criminal and civil liability. Grace reserves all rights and remedies against anyone who violates any provision of these Terms of Use.

9. Third parties.

The Software may be incorporated into software and other technology owned and controlled by third parties, and may itself be incorporated into software and other technology owned and controlled by third parties. Any such third party software or technology included in the Software falls within the scope of this Agreement.

10. New version of the software.

grace reserves the right, in its sole discretion, to add additional features or functionality to the Software or Services, or to modify or provide programmatic fixes, updates and upgrades. grace has no obligation to provide you with any additional features or functionality or any modifications, updates, support, maintenance or subsequent releases of the Software or any Services. If you wish to download, install or use any additional features or functionality or any modifications, updates or new versions of the Software, you may be required to agree to the updated version of the Terms of Use. You acknowledge that Grace may automatically release any additional features or functionality or modified, updated or upgraded versions of the Software, and accordingly modify, update or upgrade the version of the Software that you are using or have installed on your device. You hereby agree that your Device may automatically request and/or receive such modifications, upgrades or updates.

11. Qualifications.

This license to use the Software and Services is void in any jurisdiction where prohibited. The Software and Services are intended for use only by users thirteen (13) years of age or older, and any registration, use or access to the Software or Services by anyone under the age of 13 is unauthorized, unlicensed and in violation of this Use terms. grace may, in its sole discretion, terminate your account, delete any content or information you posted on the Services, and/or prohibit you from using or accessing the Software or Services (or any portion, aspect or feature of the Services) at any time, with or without notice, including But not limited to if it believes you are under 13 years old. If you are under 18 years of age, you may use the Software and Services only if: you are an emancipated minor or have legal parental or guardian consent and are fully able and competent to enter into and comply with this Agreement The terms set out in the Terms.

12. Prevent unauthorized use.

grace reserves the right to take any lawful means it deems necessary to prevent unauthorized use of the Software or Services, including but not limited to technical barriers, IP mapping, and direct contact with your wireless (cellular) carrier regarding such unauthorized use.

13. Refund.

You may request a full refund for any additional fees and all types of paid content and item services purchased from the App Store, if permitted by the App Store and in compliance with the App Store's refund rules. Exceptions – 1) Refunds do not apply to users banned from Grace and its community, 2) Full refunds do not apply to partially used purchases.

14. Storage of content.

Subject to the terms and conditions of these Terms of Use, grace will use reasonable efforts to store content, if any, in connection with your use of Premium and All Types of Paid Content and Program Services, provided that such storage is Premium and All Types of Paid Content and Functionality provided by project services. You acknowledge and agree that Grace is not responsible for the loss, deletion, or destruction of any Content (including any stored Content), and Grace Parties have no obligation to preserve, provide access to, or return any Content to you. In addition, you further acknowledge and agree that if you elect to use the Premium Services and any type of paid content and item services (including content storage) and you have not used them for thirty (30) days or more (as determined by grace) Premium Services and any type of paid content and project services, Grace may remove your content for any reason, including technical, business or any other reasons.

15. Third Party Beneficiaries and Agreements.

If you downloaded software from Apple Store or Google Play, you acknowledge and agree that Apple Store or Google Play is a third-party beneficiary of this license agreement, and upon your acceptance of the terms and conditions of these Terms of Use, Apple Store or Google Play will have the right to (and will be deemed to have accepted that right) to enforce these Terms of Use against you as a third party beneficiary. When using the Software and/or Services, you agree to abide by all applicable third-party terms of agreement, including the terms of any applicable App Store, and your license to use the Software and Services is conditioned on your compliance with these Terms.
